Tax, Email & Deployment Terms
The terms below are incorporated into, and form an integral part of, the Ability Commerce Terms of Service. Unless otherwise defined herein, capitalized terms shall have the meaning as described in the Terms of Service. Any breach of the terms below will be deemed a material breach of the Terms of Service.
1. TAX CALCULATION.
ABILITY software is integrated with TaxCloud®, one of the largest providers of sales tax compliance services, offering industry leading tax data, automated filing options for your business's transactions in the USA.
In the event tax collection automation is required by COMPANY, you will need to subscribe separately to the TaxCloud service by visiting https://taxcloud.com/register.
COMPANY will be responsible for setting up TaxCloud® (or other 3rd party tax software integration with Ability SOFTWARE that may be supported by Ability Commerce) in Ability SOFTWARE following Ability Commerce’s online documentation set-up instructions or may contract with Ability Commerce to perform set-up service in Ability SOFTWARE on your behalf.

2. EMAIL SERVICE.
Ability SOFTWARE is integrated with Twilio SendGrid® to deliver emails from Ability SOFTWARE.
SendGrid is required for Ability SOFTWARE to accommodate any function that uses emails including but not limited to:

- transactional emails (e.g., order confirmation emails, shipment confirmation emails, invoice emails, etc.)
- job alert scheduling; report scheduling
COMPANY is required to subscribe to the SendGrid service by visiting https://sendgrid.com/pricing/.
SendGrid offers multiple plans to accommodate a range of email delivery needs.

3. SOFTWARE DEPLOYMENT.
3.1. Introduction.
Ability’s Azure Cloud Service (provided by MS Azure) provides enterprise-grade cloud infrastructure on which customers and partners can rely. This includes physical elements like redundant power, networking, and cooling, as well as software elements like safe deployment processes, impact less maintenance, and failure prediction enabled by machine learning. Ability Commerce’s Cloud Service takes advantage of multilayered security across physical datacenters, infrastructure, and operations.
The service offers industry-leading physical security systems and a comprehensive portfolio of compliance offerings and privacy standards. With state-of-the-art encryption, your data is protected both at rest and in transit.
Ability Commerce’s Cloud Service also complies with external privacy standards, laws, and regulations, including: the GDPR, ISO/IEC 27701, ISO/IEC 27018, EU Standard Contractual Clauses, HIPAA, HITRUST, FERPA, Japan My Number Act, Canada PIPEDA, Spain LOPD, and Argentina PDPA.

3.2. MS Windows Defender Security.
Basic installation of MS Windows Defender Security is included.
3.3. Backup and Recovery.
Full database backup and recovery is included.
3.4. Performance.
The Monthly Subscription Fee is based on anticipated compute power needed by COMPANY’S subscribed to Plan level.
Once a system is live, it may be determined that the hardware or compute power needs to be increased, in which case additional resources may be required which will result in an increase in the Monthly Subscription Fee.

3.6. MS Azure Cloud Services Uptime SLA. MS Azure guarantees uptime of 99.9%.
The metric is not SERVICE uptime. Exceptions include, but are not limited to, circumstances beyond reasonable control, including, without limitation, acts of any governmental body, war, insurrection, sabotage, embargo, and “Acts of God” (i.e., fire, flood, earthquake, tornado, etc.).
